Meusx Terms of Service

This is a binding legal agreement that governs your access to and use of all Meusx services.

Welcome to Meusx. We provide a suite of tools for artists to build, monetize, and manage their digital sovereignty. These Terms of Service ("Terms") govern your access to and use of all Meusx services, including the Meuspace and Meustreams websites, applications, and any related software (collectively, the "Services"). These Terms are a binding legal agreement between you ("Artist," "User," or "you") and Meusx, LLC ("Meusx," "we," or "us").

By creating an account or using our Services, you agree to be bound by these Terms.

1. Our Philosophy & Your Freedom

Our mission is to ensure the internet remains an open platform. We provide the infrastructure; you provide the art.

  • You Own Your Content: You own 100% of the content you create and post on Meusx. We are not a publisher and claim no editorial permission or ownership rights over your work.
  • Freedom of Expression: We champion your right to express yourself without fear of being "banned" for arbitrary or editorial reasons. We provide the tools for you to build your audience and speak directly to them.
  • The Limit of the Law: This freedom, however, is subject to the law. We are a platform, not a publisher, but we are still bound by legal obligations. We do not permit illegal content on our servers. You must still comply with the "Artist Content & Conduct" rules in Section 4.
  • True Sovereignty: For artists desiring full digital sovereignty, we offer the "Artist-Managed Hosting" option (see Section 6), where you control the servers and we just provide the software.

2. Account Eligibility & Vetting

Meusx is a professional platform dedicated to empowering artists. As such, all Artist accounts are subject to a vetting process.

  • Application: To become an "Artist," you must apply for an account. We may ask for information to verify your identity and your status as a content creator, such as links to existing music, content portfolios, or social media accounts.
  • Approval: We reserve the right, in our sole discretion, to approve or deny any Artist account application.

3. The "Blocks" Digital Tipping System

Our Services (specifically Meuspace) allow Users to send "Blocks" to Artists.

  • "Blocks" are a Digital Good, Not Money: "Blocks" are a limited, revocable license to a feature of our Service. They are a digital good, similar to an in-game item. Blocks are NOT currency, cryptocurrency, virtual currency, or securities. They have no cash value, are not redeemable for cash from Meusx (except as an Artist Payout, see below), and cannot be sold, transferred, or exchanged between users.

For Users (Buying Blocks)

  • The Purchase: You may purchase "Blocks" in specific amounts (e.g., 100 Blocks for $1.00 USD). This is a direct, final, non-refundable purchase of a digital good.
  • Fees & Taxes: To ensure the Artist receives 100% of the value you intend to send, all fees are paid by you, the consumer, at checkout. Your final purchase price will consist of:
    1. The value of the "Blocks" (e.g., $10.00).
    2. A 10% Meusx Service Fee (e.g., $1.00).
    3. All applicable Sales Taxes (e.g., VAT, GST), which are calculated on the total price.

For Artists (Receiving & Redeeming Blocks)

  • Receiving 100%: When a User "Adds Blocks" to you (e.g., sends 1,000 Blocks), your "Artist Payout Balance" is credited with 1,000 Blocks.
  • Redemption Rate: The redemption value is pegged to our internal USD rate (e.g., 100 Blocks = $1.00 USD).
  • Artist Payouts: You may "cash out" your Payout Balance (subject to minimums, e.g., $50). We offer two distinct payout methods for your convenience.

A. Standard Payout (USD / Local Currency)

  • This is the default method for redeeming "Blocks" to your local currency or receiving Meustreams royalties.
  • Partner: This service is processed via Stripe Connect. By using this payout method, you agree to Stripe's terms of service.
  • The Flow: When you request a Standard Payout, Meusx will send the full corresponding cash value (e.g., $10.00 for 1,000 Blocks) from our corporate account to your connected Stripe account. This is a service payment from Meusx to you.

B. Optional SATS Payout (via Banking Partner)

  • This is an optional, advanced feature that allows you to programmatically redeem your "Blocks" for SATS, which are then sent to your Lightning wallet.
  • Opt-In & KYC: To activate this feature, you must opt-in and complete a separate identity verification (KYC) process with our third-party "Banking-as-a-Service" (BaaS) partner.
  • Virtual Account Creation: Upon successful KYC, our server will use the BaaS partner's API to create a dedicated virtual bank account (e.g., an FBO account) in your name. This account is legally your property.
  • The "Legal Air Gap" (Our Payout): When you select the SATS Payout, Meusx will *first* execute a standard transfer of the full corresponding USD value (e.g., $10.00) from our corporate account *into* your dedicated virtual bank account. At this moment, our payment to you is legally complete, and our "Blocks" liability is cleared. The funds are now your property, in your bank account.
  • The "SATS Automation" (Your Action): For your convenience, by opting into this feature, you grant Meusx permission to act as your "software agent" to *immediately* and *programmatically* perform the following actions on your behalf:
    1. Call a third-party API (e.g., Strike) to generate a USD invoice for the SATS purchase.
    2. Call the BaaS partner's API to authorize an `OutboundPayment` *from your virtual bank account* to pay the Strike invoice.
  • Your Acknowledgment: You understand that this automated SATS purchase is a transaction executed *by you*, from *your account* and *your funds*. Meusx is only providing the software automation to "remote control" your accounts at your direction. We are not a money transmitter.

4. Artist Content, Copyright, & Conduct

You are solely responsible for the content you upload, stream, or link to.

  • Content Ownership: You own 100% of the Content you create and post on Meusx.
  • Your Warranty: You represent and warrant that for all content you upload, live stream, or otherwise make available ("Content"): (1) You are the sole creator and owner of the Content; OR (2) You have all necessary licenses, rights, consents, and permissions to use the Content.
  • Copyright & DMCA Policy: We comply with the Digital Millennium Copyright Act (DMCA). We provide a "Report" button and a designated Takedown Notice System. We operate a "strike" policy for repeat infringers. For full details, see our official Copyright & DMCA Policy
  • Prohibited Content: Your freedom of expression is paramount, but it does not extend to illegal activity. You agree not to upload, stream, or post any Content that:
    1. Infringes any third party's copyright, trademark, or patent (this is covered by our DMCA Policy).
    2. Constitutes Child Sexual Abuse Material (CSAM).
    3. Is defamatory or libelous.
    4. Constitutes a credible threat of violence or incites imminent lawless action.
    5. Promotes or facilitates illegal gambling or human trafficking.

We reserve the right to remove any Content and terminate any account that, in our sole judgment, violates these "Prohibited Content" rules or any applicable law.

5. Service-Specific Terms

A. Meuspace

Service Description: Meuspace is a streaming and content hosting service. Approved Artists are provided with a dedicated page (e.g., `artist.meuspace.com`) where they can upload Content, host live streams, and receive "Blocks" from users.

Nostr Integration: Meuspace may integrate third-party, decentralized protocols such as Nostr to power artist feeds and live chats. You acknowledge that we do not own or control these networks and are not responsible for their function, content, or availability.

B. Meustreams

Service Description: Meustreams is a music distribution and publishing administration service.

Your Appointment: By using Meustreams, you appoint Meusx as your non-exclusive agent to: (1) Distribution: Distribute your selected sound recordings ("Recordings") to third-party Digital Streaming Providers (DSPs). (2) Publishing Administration (Tier B): Appoint Meusx as your Publishing Administrator to register your musical compositions ("Works") with PROs and MROs and to collect royalties on your behalf.

Royalties & Payouts: We will collect royalties on your behalf and pay them out to you in accordance with the "Standard Payout" method defined in Section 3.

6. Artist-Managed Hosting (The Self-Hosting Option)

For qualifying Artists, Meusx offers a "Self-Hosting" option where you provide your own server infrastructure (e.g., AWS, GCP). This is the ultimate path to "digital sovereignty."

  • Your Responsibility: By choosing this option, you acknowledge:
  • 1. Software Provider: Meusx acts as a software provider only. We license our software to you, provide provisioning, and send updates.
  • 2. Server Costs: You are solely responsible for your server, including all hosting costs, security, and bandwidth.
  • 3. You are the Service Provider: For all legal purposes, you (not Meusx) are the Service Provider for all content on your self-hosted instance.
  • 4. Your Own TOS: You must provide your own Terms of Service to your end-users.
  • 5. DMCA Responsibility: You are legally responsible for your own DMCA compliance, including registering your own DMCA Agent with the U.S. Copyright Office. We will not process takedown notices for self-hosted instances.

7. Fees, Payments, and Term

  • Subscription Fees: You agree to pay all applicable fees for our paid plans (e.g., Tier B). All fees are billed in advance and are non-refundable.
  • Advertising Fees: Meusx may offer advertising services. Advertisers are subject to a 5% fee on campaigns.
  • Termination: You may terminate your account at any time. We may suspend or terminate your account at any time, without notice, if you breach these Terms, particularly the "Prohibited Content" rules in Section 4.

8. Disclaimers and Limitation of Liability

THE SERVICES ARE PROVIDED "AS-IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE EXTENT PERMITTED BY LAW, MEUSX, LLC DISCLAIMS ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL MEUSX, LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; OR (C) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

9. Governing Law

These Terms shall be governed by the laws of the State of Delaware, without regard to its conflict of law provisions.
