Welcome to Meusx. We provide a suite of tools for artists to build, monetize, and manage their digital sovereignty.
These Terms of Service ("Terms") govern your access to and use of all Meusx services, including the Meuspace and Meustreams websites, applications, and any related software (collectively, the "Services"). These Terms are a binding legal agreement between you ("Artist," "User," or "you") and Meusx, LLC ("Meusx," "we," or "us").
By creating an account or using our Services, you agree to be bound by these Terms.
1. Our Philosophy & Your Freedom
Our mission is to ensure the internet remains an open platform. We provide the infrastructure; you provide the art.
- You Own Your Content: You own 100% of the content you create and post on Meusx. We are not a publisher and claim no editorial permission or ownership rights over your work.
- Freedom of Expression: We champion your right to express yourself without fear of being "banned" for arbitrary or editorial reasons. We provide the tools for you to build your audience and speak directly to them.
- The Limit of the Law: This freedom, however, is subject to the law. We are a platform, not a publisher, but we are still bound by legal obligations. We do not permit illegal content on our servers. You must still comply with the "Artist Content & Conduct" rules in Section 4.
- True Sovereignty: For artists desiring full digital sovereignty, we offer the "Artist-Managed Hosting" option (see Section 6), where you control the servers and we just provide the software. For content involving third-party material or higher legal risks, we recommend Self-Hosting to achieve unrestricted autonomy, as our standard platform Terms and detection policies will not apply to self-hosted instances.
2. Account Eligibility & Vetting
Meusx is a professional platform dedicated to empowering artists. As such, all Artist accounts are subject to a vetting process.
- Application: To become an "Artist," you must apply for an account. We may request information to verify your identity and your status as a content creator, such as links to existing music, content portfolios, or social media accounts.
- Approval: We reserve the right, in our sole discretion, to approve or deny any Artist account application.
3. The "Blocks" Digital Tipping System
Our Services allow Users to send "Blocks" to Artists.
- "Blocks" are a Digital Good, Not Money: "Blocks" are a limited, revocable license to a feature of our Service. They are a digital good and are NOT currency, cryptocurrency, virtual currency, or securities. They have no cash value, are not redeemable for cash from Meusx (except as an Artist Payout, see below), and cannot be sold, transferred, or exchanged between users.
For Users (Buying Blocks):
- The Purchase: You may purchase "Blocks" in specific amounts. This is a direct, final, non-refundable purchase of a digital good.
- Fees & Taxes: To ensure the Artist receives 100% of the value you intend to send, all fees are paid by you, the consumer, at checkout. Your final purchase price will consist of the value of the "Blocks," a Meusx Service Fee, and all applicable Sales Taxes calculated on the total price.
For Artists (Receiving & Redeeming Blocks):
- Receiving 100%: When a User adds Blocks to your account, your "Artist Payout Balance" is credited with the corresponding amount.
- Redemption Rate: The redemption value is pegged to our internal USD rate.
- Artist Payouts: You may "cash out" your Payout Balance subject to applicable minimums. We offer two distinct payout methods. Payouts from content flagged as infringing may be withheld pending resolution under our DMCA Policy.
A. Standard Payout (USD / Local Currency):
- This is the default method for redeeming "Blocks" to your local currency or receiving royalties.
- Partner: This service is processed via our third-party payment processor. By using this payout method, you agree to the processor's terms of service.
- The Flow: When you request a Standard Payout, Meusx will send the full corresponding cash value from our corporate account to your connected account. This is a service payment from Meusx to you.
B. Optional SATS Payout (via Payout Partner):
- This is an optional feature that allows you to redeem your "Blocks" for a payout sent to a Lightning Network address.
- We Are Not an MSB: Meusx is not a Money Services Business (MSB) or a money transmitter. We do not buy, sell, hold, custody, or transmit cryptocurrency at any time. We operate strictly in fiat currency.
- The Payout Flow: When you select this option and provide a Lightning Address, Meusx remits the full corresponding USD value from our corporate account to a licensed third-party payout provider.
- Third-Party Conversion: Upon receipt of the USD funds, the third-party provider independently handles the immediate conversion and transmission of value to the Lightning Address you provided.
- Settlement: You acknowledge that Meusx’s payment obligation is fully discharged the moment we transfer the USD funds to the provider. We are not responsible for the conversion rates, network fees, or delivery failures associated with the Lightning Network, as these are handled entirely by the third-party provider.
4. Artist Content, Copyright, & Conduct
You are solely responsible for the content you upload, stream, or link to.
- Content Ownership: You own 100% of the Content you create and post on Meusx.
- Your Warranty: You represent and warrant that for all content you upload, live stream, or otherwise make available ("Content"): 1) You are the sole creator and owner of the Content; OR 2) You have all necessary licenses, rights, consents, and permissions to use the Content. Our blanket licenses cover royalties for eligible U.S. uses of your original content but do not grant you permission to use third-party music or recordings.
- Copyright & DMCA Policy: We comply with the Digital Millennium Copyright Act (DMCA). We provide a reporting mechanism and a designated Takedown Notice System. We operate a "strike" policy for repeat infringers.
- Automated Detection: To maintain legal compliance and protect our safe harbor status, we utilize automated systems to identify potential copyrighted material in Content. By using our Services, you consent to this scanning and agree that detected issues may result in modifications, labeling, removal, or disabling of access to the Content, even without a DMCA notice.
- Prohibited Content: You agree not to upload, stream, or post any Content that: 1) Infringes any third party's copyright; 2) Constitutes CSAM; 3) Is defamatory or libelous; 4) Constitutes a credible threat of violence; 5) Promotes illegal gambling or human trafficking. We reserve the right to remove Content and terminate accounts that violate these rules.
5. Service-Specific Terms
A. Meuspace
- Service Description: Meuspace is a streaming and content hosting service. Approved Artists are provided with a dedicated page where they can upload Content, host live streams, and receive "Blocks" from users.
- Decentralized Integration: Meuspace may integrate third-party, decentralized protocols to power artist feeds and live chats. You acknowledge that we do not own or control these networks.
- Live Streaming (AV): Enabled for original content. Third-party music use is at your risk and requires your own clearances; our detection system may act upon flagged portions.
- VOD and AOD: Recordings will be subject to our detection system. If including third-party elements, you must warrant direct licenses; our blanket licenses handle royalties but not initial clearance.
B. Meustreams
- Service Description: Meustreams is a music distribution and publishing administration service.
- Your Appointment: By using Meustreams, you appoint Meusx as your non-exclusive agent to distribute your selected sound recordings to third-party DSPs and to register your musical compositions with PROs and rights organizations to collect royalties on your behalf.
- Royalties & Payouts: We will collect royalties on your behalf and pay them out to you in accordance with the "Standard Payout" method defined in Section 3.
6. Artist-Managed Hosting (The Self-Hosting Option)
For qualifying Artists, Meusx offers a "Self-Hosting" option where you provide your own server infrastructure. This is the ultimate path to "digital sovereignty."
- Your Responsibility: By choosing this option, you acknowledge: 1) Meusx acts as a software provider only; 2) You are solely responsible for your server, hosting costs, security, and bandwidth; 3) You are the Service Provider for all content on your self-hosted instance; 4) You must provide your own Terms of Service to your end-users; 5) You are legally responsible for your own DMCA compliance.
- Self-Hosting is recommended for content involving third-party music without clearances, where you handle all licensing and compliance independently.
7. Fees, Payments, and Term
- Subscription Fees: You agree to pay all applicable fees for our paid plans. All fees are billed in advance and are non-refundable.
- Advertising Fees: Meusx may offer advertising services. Advertisers are subject to a fee on campaigns.
- Termination: You may terminate your account at any time. We may suspend or terminate your account at any time, without notice, if you breach these Terms, particularly the "Prohibited Content" rules or based on our automated detection.
8. Disclaimers and Limitation of Liability
The service is provided "AS-IS" and our liability is strictly limited. We disclaim liability for any Content you upload. You agree to indemnify, defend, and hold harmless Meusx against any claims, damages, or expenses arising from your violations of these Terms, including detected infringements or third-party copyright claims.
9. Governing Law
These Terms shall be governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Disputes involving non-U.S. users may also consider international treaties. You consent to U.S. jurisdiction for DMCA-equivalent claims.
10. International Compliance
For non-U.S. users, you must comply with local copyright laws in addition to these Terms. Our U.S. blanket licenses cover U.S. royalties but not foreign equivalents. You warrant clearances from local societies and rights organizations. We may apply filters or restrictions based on your location to comply with international laws.
